Terms of Service
Odin by Vasar
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Vasar Telperion, Inc. ("Vasar," "we," "us," or "our"), governing your access to and use of the Odin platform, including all related software, services, APIs, and documentation (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Odin is a cloud-based platform that provides CAD geometry analysis, design quality checks, and Design for Manufacturing (DFM) analysis for engineering and manufacturing workflows. The Service analyzes 3D CAD files (including STEP, STL, IGES, and OBJ formats) to identify geometric issues and manufacturing considerations for processes including injection molding and CNC machining.
3. Account Registration and Security
To access the Service, you must register for an account. You agree to:
- Provide accurate, complete, and current information during registration
- Maintain the security and confidentiality of your account credentials
- Promptly notify us at info@vasar.io of any unauthorized use of your account
- Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
4. Acceptable Use
4.1 Permitted Use
You may use the Service solely for your internal business purposes in connection with legitimate engineering and manufacturing activities.
4.2 Prohibited Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Upload files that contain malicious code, viruses, or other harmful content
- Attempt to gain unauthorized access to any portion of the Service or its related systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or otherwise commercialize the Service without our prior written consent
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means to scrape, crawl, or extract data from the Service
- Upload files containing export-controlled technical data without ensuring compliance with applicable export laws
5. Intellectual Property
5.1 Our IP
Vasar and its licensors retain all right, title, and interest in and to the Service, including all underlying software, algorithms, models, and technology. "Odin" and "Vasar" are trademarks of Vasar Telperion, Inc. Nothing in these Terms grants you any rights in the Service except as expressly set forth herein.
5.2 Your Content
You retain all ownership rights in the CAD files and other content you upload to the Service ("Your Content"). By uploading Your Content, you grant Vasar a limited, non-exclusive license to process and analyze Your Content solely for the purpose of providing the Service to you.
5.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without any obligation to you.
6. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
6.1 Your CAD Data
We process Your Content solely to deliver the Service. We do not claim ownership of your CAD files and will not share them with third parties except as necessary to provide the Service or as required by law.
6.2 Product Communications
By accepting these Terms, you agree that we may send you product updates, feature announcements, and service-related communications. You may opt out of non-essential communications at any time by following the unsubscribe instructions in any such communication or by contacting us at info@vasar.io.
6.3 International Transfers
The Service is operated from the United States. If you are accessing the Service from outside the United States, including from the European Economic Area (EEA) or United Kingdom, you acknowledge that your data will be transferred to and processed in the United States. We implement appropriate safeguards for such transfers as described in our Privacy Policy.
7. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that: (a) is or becomes publicly available without breach of this obligation; (b) was known to the receiving party prior to disclosure; (c) is received from a third party without restriction; or (d) is independently developed without use of confidential information.
8. Fees and Payment
Certain features of the Service may require payment of fees. If you purchase a paid plan:
- Fees are due in advance and non-refundable except as required by applicable law or as expressly stated in these Terms
- We may change our fees upon at least 30 days' prior written notice
- You are responsible for all applicable taxes
- We may suspend your access to the Service if your account becomes past due
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by applicable law, Vasar expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Vasar does not warrant that the Service will be error-free, uninterrupted, or free of harmful components, or that any analysis results are accurate, complete, or suitable for any particular manufacturing process or purpose. The Service is an analytical tool and does not constitute professional engineering advice. You are solely responsible for validating any analysis results before relying on them for manufacturing or engineering decisions.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Vasar, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to these Terms or the Service.
Vasar's total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the fees you paid to Vasar in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. To the extent such restrictions apply, the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Vasar and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
12. Termination
Either party may terminate these Terms at any time. You may terminate by ceasing to use the Service and closing your account. We may terminate or suspend your access to the Service immediately, without prior notice, if we determine that you have violated these Terms or if we discontinue the Service.
Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete Your Content after a reasonable period (typically 30 days); and (c) Sections 5, 7, 9, 10, 11, and 13 shall survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If the dispute is not resolved within 30 days, it shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
You and Vasar agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any class action or representative proceeding.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Vasar with respect to the Service and supersede all prior agreements.
14.2 Modifications
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
14.3 Severability
If any provision of these Terms is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
14.4 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
14.5 Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
14.6 Export Compliance
You are responsible for complying with all applicable export control laws and regulations. You agree not to use the Service in connection with the development, design, manufacture, or production of nuclear, chemical, or biological weapons.
